General Terms and Conditions
1. General Provisions
- 1.1 These Terms and Conditions ("Agreement") govern the provision of quotations by HJ Structured Technologies Inc. ("Company") and Customer. By accepting a quotation from the Company, the Customer agrees to abide by the terms set forth herein.
- 1.2 The terms of this Agreement shall apply to all quotations provided by the Company, unless expressly stated otherwise by the Company's authorized account manager in writing.
2. Quotations and Validity
- 2.1 Quotations provided by the Company are valid for the duration specified in the quotation document.
- 2.2 Quotations are based on the information available at the time of issuance. Any changes or modifications to the scope, specifications, or requirements of the project after quotation issuance may result in adjustments to the quoted price and terms.
3. Purchase Orders (PO) and Cancellation
- 3.1 Once a purchase order (PO) has been issued by the Customer and received by the Company, it is considered binding and cannot be cancelled or modified without the express written consent of the Company's authorized account manager.
- 3.2 The Company reserves the right to decline any cancellation requests for purchase orders after they have been submitted, particularly if work has already commenced or materials have been procured for the project.
4. Account Manager's Discretion
- 4.1 In exceptional cases, the Company's authorized account manager may consider cancellation or modification requests for purchase orders on a case-by-case basis. Such decisions will be made at the sole discretion of the account manager and shall be communicated in writing to the Customer.
5. Payment Terms
- 5.1 Payment terms are as specified in the quotation document and are subject to the Customer's adherence to the agreed-upon schedule.
- 5.2 In the event of any outstanding payments or disputes, the Company reserves the right to halt or suspend work until the matter is resolved to the satisfaction of both parties.
6. Payment Methods
- 6.1 Payments can be made via cash, wire transfer, and bank transfer to the following accounts:

- 6.2 Cheques are accepted and should be made payable to HJ STRUCTURED TECHNOLOGIES INC.
- 6.2.1 It is the responsibility of the payer to ensure that the cheque reaches HJ STRUCTURED TECHNOLOGIES
INC. by the due date.
7. Warranty Coverage
The Warranty covers defects in materials and workmanship under normal use for a specified period, as indicated in the product documentation or contract, starting from the date of purchase or service delivery.
- 7.1 Warranty Exclusions The Warranty does not cover damage or defects resulting from:
- Misuse, abuse, or neglect of the product or service.
- Unauthorized modifications or repairs.
- Accidents, acts of nature, or any external causes.
- Normal wear and tear.
- Failure to follow installation, operation, or maintenance instructions.
- Use of unauthorized accessories or components.
- 7.2 Warranty Limitations
- 7.2.1 The Warranty is non-transferable and applies only to the original purchaser or the entity for whom the service was provided.
- 7.2.2 The Company's liability under this Warranty is limited to the repair or replacement of the defective product or service. In no event shall the Company be liable for any indirect, incidental, or consequential damages.
- 7.3 Warranty Claim Process
- 7.3.1 To make a Warranty claim, the customer must:
- Contact the account manager within the Warranty period.
- Provide proof of purchase or service contract.
- Describe the issue in detail and follow any instructions provided by the account manager.
- 7.3.2 The Company may request the return of the product or service for inspection and repair. Shipping costs will be the responsibility of the customer, depending on the Warranty terms.
- 7.3.3 The Company will, at its discretion, repair or replace the defective product or service within a reasonable timeframe.
8. Project Scope Changes
- 8.1 Any changes to the project scope, specifications, or requirements must be communicated in writing and agreed upon by both parties. Such changes may result in adjustments to the quoted price and timeline.
9. Confidentiality
- 9.1 Both parties agree to treat all information exchanged during the course of the business relationship as confidential and shall not disclose such information to third parties without the written consent of the other party.
10. Governing Law and Dispute Resolution
- 10.1 This Agreement shall be governed by and construed in accordance with the laws of the Philippines.
- 10.2 Any disputes arising from or related to this Agreement shall be resolved through amicable negotiations. If no resolution can be reached, both parties agree to submit to the exclusive jurisdiction of the courts of the Philippines.
By accepting a quotation from HJ Structured Technologies Inc., the Customer acknowledges and agrees to be bound by these Terms and Conditions.
